1. Definitions
1.1 The Product / Goods – Any play equipment, soft play structures, components,
materials, or associated items supplied by PLAYCRAFT Ltd (“the Company”).
1.2 Client – The person, company, or organisation purchasing Goods or services from
the Company.

2. General Terms
2.1 These Terms and Conditions govern all quotations, orders, and contracts between
the Company and the Client.
2.2 These Terms take precedence over any conflicting terms issued by the Client unless
expressly agreed in writing.
2.3 Acceptance of a quotation confirms acceptance of these Terms.

3. Pricing and Quotations
3.1 Prices are as stated in the Company’s quotation or order acknowledgement.
3.2 All prices exclude VAT unless stated otherwise.
3.3 Quotations may be revised if scope, design, access, or regulatory requirements
change.

4. Variations and Alterations
4.1 Changes to design, layout, colours, specification, or installation scope constitute a
variation.
4.2 Variations may affect price and timelines and must be agreed in writing.

5. Payment Terms, Staged Payments and Suspension Rights
5.1 50% deposit upon order placement (non-refundable once manufacture begins).
5.2 40% prior to installation or delivery to site.
5.3 10% on completion.
5.4 Installation dates are conditional upon staged payments remaining up to date.
5.5 Late payment may result in suspension of manufacture, installation, or licence to
use.

6. Completion and Snagging
6.1 Practical completion occurs when the Product is available for use.

7. Ownership, Installation Status, Retention of Title and
Recovery Rights
7.1 Legal and beneficial title remains with PLAYCRAFT Ltd until full payment is
received.
7.2 Goods are modular removable equipment systems and are not structural building
works.
7.3 Bolting or securing is carried out solely for safety and does not create a structural
fixture.
7.4 Installed Goods remain removable chattels until title transfers.
7.4A Where Goods are installed on premises not owned by the Client, the Client is
responsible for obtaining landlord acknowledgement.
7.5 The Client receives a conditional licence to use the Goods only while payments
remain up to date.
7.6 PLAYCRAFT Ltd may affix ownership plates which must not be removed.
7.7 Risk transfers upon delivery to site or commencement of installation.
7.8 PLAYCRAFT Ltd may suspend works, secure, disable, or repossess Goods where
payment is overdue.
7.9 Removal of installed equipment may require detachment from floors or walls.

8. Site Access and Client Responsibilities
8.1 The Client must provide safe access and suitable fixing surfaces.
8.2 Delays caused by the Client or third parties may incur additional charges.

9. Delivery
9.1 Delivery dates are estimates only.

10. Warranty
10.1 Steel components – 3 years.
10.2 Soft play components – 1 year.

11. Liability
11.1 Liability shall not exceed the contract price.

12. Governing Law
12.1 These Terms are governed by English Law.
